1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Audent websites, applications, APIs, integrations, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
If you use the Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
2. Service Scope and Availability
Audent provides subscription-based software for AI voice reception, scheduling workflows, reporting, and optional third-party integrations. We may update, modify, or discontinue features from time to time to maintain security, compliance, and service performance.
We will use commercially reasonable efforts to keep the Services available, but uninterrupted or error-free operation is not guaranteed.
3. Accounts and Responsibilities
You are responsible for maintaining the confidentiality of account credentials and for all activities occurring under your account. You must provide accurate account and billing details and keep them current.
You are responsible for using the Services lawfully, obtaining required notices and consents, and ensuring your use complies with applicable privacy, telecom, and consumer protection laws in your jurisdiction.
4. Acceptable Use
You may not, and may not permit others to:
- Use the Services for unlawful, fraudulent, deceptive, or abusive activities.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Interfere with platform security, integrity, or performance.
- Use the Services to transmit malicious code or infringing content.
- Resell, reverse engineer, or misuse the Services except as expressly permitted by law.
5. Billing, Renewals, and Cancellation
Paid plans are billed on a recurring basis as described at purchase. By subscribing, you authorize recurring charges until cancellation. Taxes may apply depending on jurisdiction.
You may cancel through the billing portal unless otherwise provided in a written order form. Fees already paid are non-refundable except where required by law or explicitly stated in a contract.
6. Third-Party Services
The Services may interoperate with third-party services (such as telephony, calendar, CRM, and payment providers). Your use of those services is governed by their own terms and policies. Audent is not responsible for third-party service availability or acts outside our control.
7. Intellectual Property
Audent and its licensors retain all rights, title, and interest in and to the Services, including all software, branding, documentation, and related intellectual property rights. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Audent will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunities arising from or related to the Services.
Where liability cannot be excluded, Audent's aggregate liability will be limited to the amounts paid by you for the Services during the 12 months preceding the event giving rise to the claim.
10. Suspension and Termination
We may suspend or terminate access if required for security, legal compliance, non-payment, or material breach of these Terms. You may stop using the Services at any time and cancel as described above.
11. Changes to Terms
We may revise these Terms from time to time. Updated Terms become effective when posted, unless a later date is stated. Continued use of the Services after the effective date constitutes acceptance.
12. Governing Law and Disputes
These Terms are governed by applicable law as determined by mandatory legal rules and any controlling written agreement with Audent. Disputes should first be raised through good-faith discussions before formal proceedings.
